Terms of Use

The rules for using this site, the limits of the information published here, and how a sourcing engagement is governed.

Agreement

By using koalayupoo.com, you agree to these terms. If you do not agree, do not use the site. These terms apply to the website and its content. A sourcing engagement is governed by a separate written agreement, which takes precedence if it conflicts with these terms.

“We” and “us” refer to the operator of Koala Yupoo. “You” refers to the person using the site. If you use the site on behalf of a company, you confirm that you have authority to accept these terms for that company.

What this site is

Koala Yupoo publishes educational material about reading Yupoo and WWTop supplier catalogues, sourcing unbranded apparel and accessories, verifying factories, sampling, and production. It also accepts sourcing enquiries and may provide sourcing, verification, or private-label support under a separate agreement.

The site is independent. It is not affiliated with, endorsed by, or acting as an agent for Yupoo, WWTop, or any seller. References to Yupoo describe a third-party image-hosting platform; references to WWTop describe a third-party product catalogue used as visual reference. References to a product category, fabric, or process are informational and do not constitute an offer to sell.

No marketplace or escrow

This site is not a marketplace, shop, payment processor, or escrow service. It does not hold stock, take payment for goods, or guarantee a supplier’s performance. A product photo, specification range, or album reference on this site or in a linked third-party page is not a binding offer.

Any purchase of goods is between you and the supplier named in your written agreement. Payment instructions are confirmed in writing and are never sent as a change to an existing bank account without verification through a second channel.

Quotes and engagements

A request submitted through this site is an invitation to discuss a project, not a binding order. A quote becomes binding only when it is issued in writing, is accepted by you, and any stated conditions (deposit, sample approval, specification, and timeline) are met.

MOQs, lead times, prices, and freight estimates are planning figures unless a written quote states otherwise. They depend on fabric availability, factory capacity, destination, payment method, and the final specification. Estimates may change when those inputs change.

Sourcing fees, sample costs, freight, duty, taxes, and payment charges are disclosed separately in the written quote where they are known. Where a cost cannot be known in advance, the quote identifies it as an estimate or an exclusion.

Compliance

We source unbranded goods and private-label production for a buyer’s own brand. We do not source branded, counterfeit, replica, or brand-infringing goods, and we do not assist in copying another company’s protected design, logo, or artwork.

You agree not to use this site or our services to request, source, import, or distribute goods that infringe intellectual property, breach customs or import rules, or violate applicable product-safety law. We may decline or stop work on a request that appears to do so. See the compliance standard for detail.

You are responsible for the artwork, label, claims, and permissions you supply, and for ensuring that the product is lawful in the destination market. We may ask for evidence of ownership before producing branded artwork.

Intellectual property

The text, layout, illustrations, checklists, and original graphics on this site are owned by their respective creators and are protected by copyright and related rights. You may read, print, and share a page for internal or personal use, with attribution to Koala Yupoo and a link to the original page.

You may not republish substantial portions, scrape the site for a competing service, remove attribution, or use our branding in a way that suggests endorsement. Supplier catalogue images, reference product photos, brand names, and third-party trademarks remain the property of their owners and are not licensed to you by these terms. A reference image is used to identify a silhouette, material, or construction cue; it is not a grant to reproduce a brand, logo, monogram, or protected design.

If you believe content on this site infringes your rights, contact us with the page, the right you rely on, and evidence of ownership. We will review the claim and remove or correct content where appropriate.

Acceptable use

  • Do not submit false, misleading, or fraudulent information.
  • Do not upload malware, unlawful material, or another person’s confidential information without authority.
  • Do not attempt to access restricted systems, disrupt the service, or bypass security controls.
  • Do not use automated tools to scrape the site in a way that imposes an unreasonable load.
  • Do not impersonate another person, supplier, or business.
  • Do not use the site to promote counterfeit goods, brand infringement, or unlawful imports.

Third-party links

The site may link to third-party guides, tools, platforms, or supplier pages, including WWTop and Yupoo catalogues. Those links are provided for context or convenience. We do not control third-party content and do not endorse a third party merely by linking to it. A catalogue link can break, change, or point to different content over time.

Partner links, where present, are disclosed and may carry a source parameter such as ref=koalayupoo.com so the destination can understand where a visit came from. A partner link is not a guarantee of the destination’s products, compliance, or service.

No professional advice

The guides describe general sourcing practice. They are not legal, tax, customs, financial, or product-safety advice for your specific situation. Import rules, labelling requirements, and conformity obligations vary by product and country. Obtain qualified advice before relying on a general guide for a regulated product or a new market.

Disclaimer

The site is provided on an “as is” and “as available” basis. We aim to keep content accurate and current, but we do not warrant that every page is complete, error-free, or up to date. Factories, platforms, prices, and timelines change. Your use of the site is at your own risk.

To the extent permitted by law, we exclude implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.

Liability

To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of business, loss of data, or loss arising from a third party’s acts, including a supplier’s failure to deliver, a platform outage, or a broken third-party link.

Nothing in these terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be limited by law.

Where our services are engaged, the written agreement sets out the scope, deliverables, fees, and liability terms for that engagement.

Governing law and disputes

For use of this website before a paid engagement, these terms are governed by the laws that apply at the operator’s principal place of business, without depriving you of mandatory protections available in your country of residence. The written sourcing agreement identifies the contracting entity, governing law, and forum for a paid engagement.

Before starting formal proceedings, send a written description of the issue and the outcome you are seeking through the contact form. We will try to resolve the matter within 30 days. Nothing in this section prevents you from using a mandatory consumer-protection route or from seeking urgent relief where the law allows it.

Changes

We may update these terms as the site or service changes. The effective date at the top of the page will change. Continued use after an update means you accept the revised terms. If a change is material and affects an active engagement, the written agreement for that engagement governs.

If a provision is found unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver.

Contact

Questions about these terms can be sent through the contact form with “Terms” in the message. The contracting entity, governing law, and dispute route for a paid engagement are stated in the written agreement for that engagement.
